1. Agreement to Terms
By accessing, browsing, or utilizing the web services, consultation booking engine, AI SEO auditor, or business directory platform provided by Dipak Paneru ("Agency", "we", "us"), you agree to be bound legally by these Terms and Conditions ("Terms"). If you do not agree to all terms, you must immediately cease using this platform.

3. Client Responsibilities & Profile Authorization
Clients engaging our services represent and warrant that:
- They possess lawful ownership or explicit written authorization to manage the Google Business Profile, website domain, and business assets submitted for optimization.
- All Name, Address, Phone (NAP) details, tax documents, and business utility bills provided for GBP video verification audits are true, accurate, and current.
- They will not submit fraudulent, misleading, adult, or illegal business entities to our verified directory platform.
4. Consultation Booking & Payment Terms
Fees for 1-on-1 strategy calls, technical audits, and monthly SEO retainer packages are agreed upon prior to project kickoff.
1-on-1 consultations can be rescheduled up to 24 hours prior to the booked time slot. Custom technical audit reports and reinstatement strategy document deliverables are non-refundable once work has commenced due to the immediate allocation of expert research hours.
5. Intellectual Property & Deliverables
All custom strategy reports, platform documentation, schema code blueprints, and campaign audit files created specifically for the client remain the intellectual property of the client upon full payment. The proprietary software framework, algorithms, and website source code remain the exclusive property of Dipak Paneru.
6. Directory Badging & Verification Hashes
Directory submissions featured on this platform receive a unique audit verification hash (e.g., GBP-VERIFIED-2026-NP) upon passing manual or video verification audits. We reserve the right to revoke verification badges if a business profile is found to violate Google Guidelines or ceases operations.
7. Search Engine Algorithm Disclaimer
Search engine algorithms (Google, Bing, Yahoo, Yandex, Apple Maps) are controlled independently by third-party search platforms. While Dipak Paneru employs proven white-hat local SEO methodologies, no legitimate agency can guarantee specific #1 position rankings due to dynamic algorithmic updates, local competitor bidding, and geo-location variables.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Dipak Paneru shall not be liable for indirect, incidental, special, or consequential damages resulting from search engine algorithmic changes, temporary profile suspensions caused by client policy breaches, or third-party web hosting downtime.
9. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Nepal and international commercial standards. Any disputes arising from these Terms or engagements shall be resolved amicably through consultation, or submitted to binding arbitration in Kathmandu, Nepal.
